1. Acceptance of Terms

These Terms apply to all visitors, users, and others who access the Site. iXpressGenes, Inc. ("iXpressGenes," "we," "us," or "our") reserves the right to modify these Terms at any time. Changes will be posted with an updated effective date. Continued use of the Site following any change constitutes your acceptance of the revised Terms.
2. Who May Use the Site
The Site is intended for use by licensed healthcare providers, authorized business partners, and adult individuals (18 years of age or older) seeking information about iXpressGenes' laboratory services. You may not use the Site if you are under the age of 18. Minor patients (ages 16–17 in Alabama) may only be served through an authorized ordering provider; minors may not directly access or use the Site.
3. Permitted Use
You may use the Site for lawful purposes only. You agree not to: • Use the Site in any way that violates applicable federal, state, or local law or regulation; • Transmit any unauthorized advertising, spam, or solicitation; • Attempt to gain unauthorized access to any portion of the Site, its servers, or any system connected to the Site; • Interfere with or disrupt the integrity or performance of the Site; • Scrape, harvest, or collect data from the Site without our express written consent; or • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
4. No Medical Advice
The content on this Site is provided for informational purposes only and does not constitute medical advice, diagnosis, or treatment. Laboratory services provided by iXpressGenes are ordered and interpreted by licensed healthcare providers. Nothing on this Site should be used as a substitute for professional medical judgment. 5. Provider Accounts
Authorized providers may be granted access to a provider-facing portal on the Site. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at info@ixpressgenes.com if you suspect any unauthorized use of your account. iXpressGenes reserves the right to suspend or terminate accounts at its discretion.
6. Intellectual Property
All content on the Site—including text, graphics, logos, software, and laboratory reports generated by iXpressGenes—is the property of iXpressGenes or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Site content without our prior written permission. Nothing in these Terms grants you any rights in iXpressGenes' proprietary RNA biomarker technology, assay methodologies, or related intellectual property.
7. Privacy and Protected Health Information
Your use of the Site is also governed by our Privacy Policy and Notice of Privacy Practices, which is incorporated into these Terms by reference. To the extent you submit or access Protected Health Information ("PHI") through the Site, such information is handled in accordance with the Health Insurance Portability and Accountability Act ("HIPAA") and our Privacy Policy. Ordering providers are responsible for ensuring they have all required patient authorizations before submitting PHI to iXpressGenes through the Site.
8. Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. iXpressGenes does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Laboratory reports are governed by the terms of the applicable laboratory services agreement, not these Terms.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, iXpressGENES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. iXpressGenes' total liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed one hundred dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless iXpressGenes and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Madison County, Alabama, and you consent to personal jurisdiction in those courts.
13. Termination
iXpressGenes reserves the right to suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Site ceases immediately. Sections 6, 8, 9, 10, and 12 of these Terms survive termination.
14. General Provisions
These Terms, together with our Privacy Policy and Notice of Privacy Practices, constitute the entire agreement between you and iXpressGenes with respect to your use of the Site. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
